The following Terms and Conditions of Sale (these "Terms and Conditions") shall apply to all sales made by Precision Dynamics Corporation ("PDC") to a buyer of PDC products ("Purchaser"). Every agreement or undertaking by PDC is expressly conditioned on Purchaser's assent to these Terms and Conditions.
Products and Prices
Products, prices, and their terms and conditions are subject to change without notice. Purchasers will be notified of any applicable changes when orders are placed.
Acceptance of Orders
A quotation or tender addressed to Purchaser from PDC does not constitute an offer to sell. A contract shall not arise unless and until Purchaser submits an order to PDC, and PDC issues a written acknowledgment and acceptance of the order to Purchaser. PDC reserves the right to refuse any order that does not meet the $100 minimum order value (calculated before tax and freight) or, at its discretion, to accept such an order subject to a $25 surcharge, except where prohibited by contract.
Order Cancellation
In the event the Purchaser desires to cancel an order, PDC may accept such cancellation in its sole discretion. However, cancellation, modification, or suspension of an order will not be accepted by PDC on terms that will not fully indemnify PDC against its losses, including recovery of all direct costs incurred and normal indirect and overhead charges.
Custom Orders and NCNR Orders
All custom orders, and any orders for products designated by PDC as non-cancellable and non-returnable ("NCNR"), are considered firm once PDC has acknowledged and accepted Purchaser's order, or, if the order was contingent on an approved proof, once the order has been acknowledged and the proof approved. Firm custom orders cannot be canceled without PDC's prior authorization. Orders for NCNR products may not be canceled under any circumstances. In the event PDC authorizes a cancellation for a custom order, PDC reserves the right to charge Purchaser the full value of the cancelled order, or, in PDC's sole discretion, to reduce the charge to all related pre-production costs, subject in either case to a minimum cancellation charge of $50.00.
Inspection and Acceptance
In the absence of an appropriate written notice from Purchaser with full particulars of any deficiency in the quality or quantity of the products, Purchaser shall be conclusively deemed to have inspected and accepted the products within thirty (30) days after products are received by Purchaser. Except for returns made pursuant to a valid warranty claim, returns will not be accepted from Purchaser after thirty (30) days from the date of receipt.
Returns
In the absence of an appropriate written notice with full particulars of any deficiency in the quality or quantity of the goods, Purchaser shall be conclusively deemed to have inspected and accepted the goods within sixty(60) days after goods are invoiced. Returns will not be accepted after 60 days from the date of issue of the original invoice.
Returns
Purchaser may not return any products, under warranty claim or otherwise, without first reporting to PDC the reasons for such return and then obtaining and observing such reasonable instructions as PDC may give in authorizing any return.
Except as otherwise specified in the Limited Manufacturer's Hardware Warrantyy or as otherwise authorized by PDC for valid warranty claims, the following conditions apply to all product returns:
- All returned products must be in salable condition, unused, and in the unopened package and/or carton in which originally purchased.
- Custom products, discontinued products, and products designated as NCNR are not eligible for return.
- Credit will be issued at PDC's original invoice price.
- All returns must be shipped freight prepaid by Purchaser.
- Where PDC determines that it was the cause of the return, PDC will ground freight the return.
- All stock products must be returned within thirty (30) days of PDC authorization or the return will be rejected.
PDC reserves the right:
- To return to Purchaser, at Purchaser's cost, any product that, in PDC's sole discretion, does not meet acceptable physical condition standards.
- To request proof of purchase for returned products.
Restocking Charges
All non-warranty returns approved by PDC in its discretion are subject to a restocking fee equal to fifteen percent (15%) of the total value of the requested return.
Damaged Shipments
All products are inspected, weighed, and carefully packed for shipment before leaving a PDC facility. The freight carrier accepts liability when the shipment leaves PDC's facility. Upon delivery of a shipment, Purchaser should promptly check the number and condition of cartons against the bill of lading totals before signing the freight bill of lading. If Purchaser's account was used to ship the product and damage or loss is discovered, Purchaser is responsible for filing a claim with the freight carrier. If PDC's account was used to ship the product and damage or loss is discovered, PDC is responsible for filing a claim with the freight carrier.
International Orders
PDC requires payment in advance, in U.S. dollars, for all international orders. PDC will only accept payment by line of credit or wire transfer. All charges associated with freight, export handling, and specifics of a freight forwarder may be modified by PDC, unless otherwise agreed in writing. Because such orders are being exported from the United States in accordance with Export Administration Regulations, diversion contrary to U.S. law is strictly prohibited.
Shipping Methods
Unless otherwise requested by Purchaser, PDC will ship by UPS Ground Service or common carrier. Rush shipments will be made by Purchaser's choice of carrier, at Purchaser's expense, and with Purchaser's approval.
Partial Shipments
PDC reserves the right to make delivery in installments to speed up delivery, unless Purchaser explicitly requires the order to ship complete. All such installments may be separately invoiced, and payment shall be due as specified in these Terms and Conditions, without regard to subsequent deliveries. Delay in delivery of any installment shall not relieve Purchaser of its obligations to accept remaining deliveries.
On special orders, PDC reserves the right to ship not in excess of ten percent (10%) over or under the quantity ordered.
Price and Delivery Terms
Unless otherwise stated in writing, price and delivery terms are FCA (Free Carrier) site of shipment, as defined in Incoterms 2020, and such prices do not include sales, use, or other taxes, or any export package cost, transportation, freight handling charges, export/import license fee, customs duties and the like, all of which shall be paid by Purchaser, who shall indemnify PDC against all claims and liabilities therefor. Unless otherwise specified in writing, delivery dates are estimates only, and PDC shall not be liable for any damages, consequential or otherwise, resulting from the failure to deliver products by a particular date.
Payment Terms and Methods
Unless otherwise stated in writing, payment terms are thirty (30) days from the date of invoice for Purchasers with satisfactory credit. In the event payment is not received within forty-five (45) days of the invoice date, a five percent (5%) penalty shall be due. For each subsequent thirty (30) day period from the date the penalty is assessed, interest shall accrue at the rate of one and one-half percent (1.5%) on the unpaid portion of the invoice. Purchaser shall be liable for PDC's costs associated with the collection of any amounts past due, including reasonable attorneys' fees and court costs. PDC retains title and security interest in the products until full payment is received.
Payment must be made by such means as PDC may specify. C.O.D. orders must be paid by money order or certified check; subsequent C.O.D. orders may be paid by company check with prior approval of PDC's Credit Department. Visa, MasterCard, and American Express are accepted for point-of-sale transactions. Notwithstanding the foregoing, PDC reserves the right, in its sole discretion, to refuse payment by any method, including by credit card.
If Purchaser becomes insolvent or PDC in good faith requires security, PDC may:
- cancel any outstanding contract with Purchaser;
- revoke any extension of credit to Purchaser;
- reduce any unpaid debt by enforcing its security interest in all products (and proceeds therefrom) furnished by PDC to Purchaser; and
- take any other steps necessary or desirable to secure PDC fully with respect to Purchaser's payment for products furnished or to be furnished by PDC.
Resale Certificate
A current Resale Certificate and tax exempt form must be submitted and on file prior to processing Purchaser's initial order.
Returned Checks
There is a $20.00 service charge for each check returned for any reason.
Artwork Specifications
All artwork submitted by Purchaser is subject to PDC's approval. PDC will notify Purchaser of any additional charges for retouching or reworking and will bill Purchaser at cost for the same. Modifications to artwork will be quoted on a per-order basis and a minimum charge applies. Pre-production custom-imprinted samples are available. The following requirements apply to all submissions of artwork:
- Acceptable Software: Adobe Illustrator, Corel Draw, PageMaker, and QuarkXPress (please specify the name and type of the files being sent).
- Acceptable File Types: .tiff, .bmp, .jpg, .psd, or .gif (minimum 150 DPI).
- Unacceptable Formats: Photocopies, faxes, logos downloaded from websites, and files embedded in Microsoft Word.
- Color Matching: Include a color copy for color breakdown only.
Logos, trademarks, or designs shown do not imply any endorsement by their owner, but are simply to exhibit factory printing capabilities.
Right to Reject
PDC has sole discretion to reject any order that in PDC's opinion contains unlawful content, sexual content, pornography, nudity, libelous content, defamatory content, obscene content, profane content, content that portrays the irresponsible use of alcohol or other substances, content advocating for persecution based on gender, age, race, religion, disability or national origin, or content that is otherwise inappropriate for PDC production ("Salacious Content").
Purchaser agrees not to use PDC to create any product that features Salacious Content or that infringes on any patent, trademark, trade secret, copyright, or other proprietary rights of any third party.
Content and Design
Purchaser retains ownership of any designs submitted by Purchaser. Purchaser hereby grants PDC and its designees a worldwide, non-exclusive, transferable, royalty-free, perpetual, irrevocable right and license, with right of sublicense (through multiple tiers), to use, reproduce, distribute (through multiple tiers), create derivative works of, and publicly display such designs solely in connection with the production or provision of any product Purchaser requests, or to show Purchaser how its designs would appear in PDC's products.
Purchaser represents and warrants that Purchaser owns or otherwise possesses all the necessary rights with respect to the designs, and that the designs do not and will not infringe, misappropriate, use, or disclose without authorization, or otherwise violate any copyright, trademark, service mark, trade secret right, or other intellectual property or property right of any third party, invade or otherwise violate the privacy and/or publicity rights of any individual, violate any laws, or contain Salacious Content.
Purchaser represents that Purchaser has obtained the written consent, release, and permission of every identifiable individual who appears in any submitted design to use such individual's likeness and, if any such identifiable individual is under the age of eighteen (18), Purchaser has obtained such written consent, release, and permission from such individual's parent or guardian (and Purchaser agrees to provide PDC with a copy of any such consents, releases, and permissions upon PDC's request). If Purchaser submits a design that contains the likeness of an identifiable individual under the age of eighteen (18), PDC strongly advises Purchaser not to include any identifying information (such as the individual's name or address) with such design.
All designs that Purchaser provides are automatically stored by PDC. Providing a design to PDC does not mean that such design is in compliance with these Terms and Conditions. PDC does not review any designs before Purchaser provides them. By providing designs to PDC, Purchaser assumes full responsibility for all such designs and for compliance with these Terms and Conditions.
Limited Warranty for Hardware Products
"Hardware Products" means PDC's printers, scanners, and related hardware accessories (but not consumable items such as labels, ribbons, or similar supplies), as further identified in Exhibit A to the Limited Manufacturer's Hardware Warrantyy. The warranty for all Hardware Products sold by PDC is governed exclusively by PDC's Limited Manufacturer's Hardware Warrantyy. In the event of any conflict between these Terms and Conditions and the Limited Manufacturer's Hardware Warrantyy with respect to Hardware Products, the terms of the Limited Manufacturer's Hardware Warrantyy shall control.
Limited Warranty for Non-Hardware Products
The following limited warranty applies to all products other than Hardware Products:
PDC MANUFACTURES AND SUPPLIES PRODUCTS TO PDC'S STANDARD SPECIFICATIONS AND DOES NOT GUARANTEE PRODUCTS MEET OTHER SPECIFICATIONS NOT PREVIOUSLY AGREED IN WRITING. PDC WARRANTS THAT ALL PRODUCTS WILL BE FREE FROM DEFECTS IN MATERIALS AND WORKMANSHIP FOR TWELVE (12) MONTHS AT THE TIME OF DELIVERY BY PDC ("LIMITED WARRANTY"). THE LIMITED WARRANTY DOES NOT APPLY IF A DEFECT IS THE RESULT OF USE OR HANDLING OF PRODUCTS IN MANNERS, CIRCUMSTANCES, OR FOR PURPOSES OTHER THAN THOSE SPECIFIED OR APPROVED BY PDC; OR IS THE RESULT OF ABUSE, TAMPERING, NEGLECT, ACCIDENTAL DAMAGE, MODIFICATION, OR UNAUTHORIZED REPAIR. THE LIMITED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES EXPRESS AND IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE LIMITED WARRANTY IS IN LIEU OF ANY OTHER LIABILITY AND OBLIGATION OF PDC FOR LOSSES, EXPENSES, INCONVENIENCES, AND DAMAGES (INCLUDING DIRECT, INDIRECT, SPECIAL, SECONDARY, AND CONSEQUENTIAL) ARISING FROM OWNERSHIP OR USE OF THE PRODUCTS. REPAIR, REPLACEMENT, OR CREDIT (AT PDC'S OPTION) UPON RETURN OF THE PRODUCTS IS PURCHASER'S SOLE REMEDY FOR ANY SUCH LOSSES, EXPENSES, INCONVENIENCES, AND DAMAGES. PURCHASER HEREBY WAIVES ANY RIGHTS IT MIGHT OTHERWISE BE ENTITLED IN CONNECTION WITH THE MATTERS COVERED HEREIN.
Special Warning for Breakaway Lanyards: Breakaway performance will vary and lanyards will not break away under all conditions. Purchasers should test the breakaway feature for suitability for their use and environment. The male/female part pull force specification for round breakaways is 3-11 lbs. under tested conditions per M-3-QA-0167. The male/female part pull force specification for flat breakaways is 4-10 lbs. under test conditions per M-3-QA-0167. A full description of the M-3-QA-0167 test procedure is available upon request. Lanyard products are not intended for children under the age of twelve (12) and are not recommended for use around moving objects or playgrounds.
No Consequential Damages
EXCEPT AS EXPRESSLY PROVIDED HEREIN, NEITHER PDC NOR PURCHASER SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES; WHETHER FORESEEABLE OR UNFORESEEABLE; WHETHER BASED UPON LOST GOODWILL, LOST RESALE PROFITS, LOSS OF USE OF MONEY, WORK STOPPAGE, IMPAIRMENT OF OTHER ASSETS, OR OTHERWISE; AND WHETHER ARISING OUT OF BREACH OF WARRANTY, BREACH OF CONTRACT, STRICT LIABILITY IN TORT, NEGLIGENCE, MISREPRESENTATION, OR OTHERWISE; EXCEPT IN THE CASE OF PERSONAL INJURY (INCLUDING DEATH) WHERE APPLICABLE LAW REQUIRES SUCH LIABILITY.
Service Plans
PDC offers optional service plans ("Service Plans") that provide extended maintenance and support coverage for eligible Hardware Products beyond the protections afforded by the Limited Manufacturer's Hardware Warrantyy. Service Plans are available for purchase by the original purchaser of an eligible Hardware Product at the time of, or within a reasonable period following, the purchase of that Hardware Product.
PDC currently offers three tiers of Service Plans: Silver, Gold, and Platinum. Each Service Plan provides different levels of coverage. Silver is available for both PDC and certain third-party products. Gold and Platinum are available for PDC Hardware Products only. The specific coverage provided under each tier, including applicable limitations and exclusions, is set forth in the Service Plan Terms and Conditions.
All Service Plans are governed exclusively by the Service Plan Terms and Conditions. In the event of any conflict between these Terms and Conditions and the Service Plan Terms and Conditions with respect to a Service Plan, the terms of the Service Plan Terms and Conditions shall control.
Software and Firmware
All software and firmware installed on any Hardware Products or delivered for use with any Hardware Products is licensed, not sold. Unless otherwise licensed to Purchaser pursuant to a separate license agreement (including, without limitation, a "click-through" or electronic end user license agreement), PDC hereby grants to Purchaser, a non-exclusive, perpetual, worldwide license to use such software or firmware solely with the product on which it is installed or with which it is purchased. This license is transferable only in conjunction with a transfer of the product on which it is installed or with which it is purchased. Purchaser shall not perform any of the following actions: (i) copy, reproduce, analyze, reverse engineer, decompile, disassemble, translate, convert, or apply any procedure or process to the software or firmware in order to ascertain, derive, and/or appropriate for any reason or purpose the source code or source listings for the software or firmware, or any trade secret information or process contained in the software or firmware; (ii) attempt to unlock or bypass any initialization system, encryption methods, or copy protection device incorporated into the software or firmware; (iii) create any derivative works of the software or firmware, or use the software or firmware to develop a competitive product; (iv) alter, remove, or obscure any patent, copyright, or trademark notice contained in the software; or (v) disclose or display the software or firmware to a third party or provide a third party access to the software or firmware without the express written consent of PDC. Any of the actions identified in items (i) through (v) shall be a breach of the license provided to Purchaser.
Patent, Copyright and Trademark Indemnity
PDC Indemnification. In the event a product supplied by PDC is claimed to directly infringe a United States patent, copyright, or trademark, or a foreign patent, copyright, or trademark corresponding thereto, in effect at the time PDC issued its order acknowledgment or invoice, Purchaser shall permit PDC, at PDC's option and expense, to: (1) procure the right to continue to use such product; (2) replace or modify such product so that the product supplied becomes non-infringing; or (3) accept return of such product and reimburse Purchaser for the purchase price, less a charge for reasonable wear and depreciation. PDC will at its expense defend any action against Purchaser based on a claim that a product infringes a United States patent, copyright, or trademark, or a foreign patent, copyright, or trademark corresponding thereto, provided that Purchaser: (1) notifies PDC promptly in writing of such action and furnishes copies of all demands, process, and pleadings; (2) gives PDC sole control of the defense thereof, including negotiations for settlement or compromise; and (3) cooperates in the defense at PDC's expense.
THE FOREGOING STATES THE ENTIRE LIABILITY OF PDC FOR INFRINGEMENT CLAIMS AND ACTIONS. PURCHASER HEREBY WAIVES ANY RIGHTS THAT PURCHASER MIGHT OTHERWISE BE ENTITLED IN CONNECTION WITH THE FOREGOING.
Exceptions to Indemnity. PDC shall have no liability to Purchaser for any action or claim alleging infringement based upon any conduct involving: (1) the use of any product in a manner other than as specified by PDC; (2) the use of any product in combination with other products, equipment, or devices not supplied by PDC; or (3) the alteration, modification, or customization of any product by any person other than PDC, or by PDC based on Purchaser's specifications or at Purchaser's direction, regardless of whether such alteration, modification, or customization occurs before or after the product is originally shipped by PDC to Purchaser. In the event of an infringement action or claim against PDC which is based on any conduct described in the preceding sentence, Purchaser shall indemnify and hold PDC harmless against all damages, costs, or expenses, including reasonable attorneys' fees paid or incurred by PDC in connection with such action or claim.
Tooling
If Purchaser pays for tooling, negatives, or plates (collectively "Tooling") then such Tooling will be the property of Purchaser and will be maintained free of charge by PDC while being used in production and for twenty-four (24) months following the last date of use, after which the Tooling will be destroyed, unless otherwise agreed in writing. If Purchaser does not pay for Tooling, then any such Tooling will be the property of PDC.
Disputes
Any and all disputes arising under or relating to these Terms and Conditions and the transactions contemplated hereby shall be determined exclusively by the state and federal courts found in Milwaukee, Wisconsin. Both parties acknowledge such courts have jurisdiction over them and any such disputes.
General
Termination for Cause. Upon any material breach by Purchaser, or if Purchaser: (1) fails to comply with any of these Terms and Conditions, (2) becomes unable to conduct its normal business operations (including inability to meet its obligations as they mature), (3) becomes the subject of any proceeding under any state or federal bankruptcy law or other law, or (4) makes any assignment for the benefit of creditors, PDC will have the right to: (1) immediately cancel or terminate any and all agreements with or obligations to Purchaser relating to sales of the products, in whole or in such part, which may result in the non-shipment or cancellation of Purchaser's pending or future orders and/or termination of Purchaser's relationship with PDC, and (2) recover from Purchaser damages for breach (excluding consequential damages), and any unpaid installments due shall become immediately due and payable.
Entire Agreement. These Terms and Conditions, the Limited Manufacturer's Hardware Warrantyy (if applicable), the Service Plan Terms and Conditions (if applicable), and any quotation, order acceptance, or invoice subject to these Terms and Conditions, collectively constitute the entire agreement and understanding between PDC and Purchaser. In the event of any conflict among these documents, the Limited Manufacturer's Hardware Warrantyy shall control with respect to Hardware Products, and the Service Plan Terms and Conditions shall control with respect to Service Plans. No terms and conditions contained in any document submitted or proffered by Purchaser (including, but not limited to, any purchase orders) shall apply to any order or to the parties' relationship generally and any and all such terms and conditions are expressly rejected by PDC. PDC assumes no liability except as expressly provided in these Terms and Conditions. These Terms and Conditions may not be modified, terminated, or repudiated, in whole or in part, except in a writing executed by authorized representatives of PDC and Purchaser. PDC may, at its sole option, treat any attempted modification, termination, or repudiation to which it does not assent in writing, as a breach by Purchaser.
Waiver. PDC will not be deemed to have waived any provision of these Terms and Conditions or any breach by Purchaser, unless specifically set forth in writing and executed by an authorized representative of PDC. No such waiver by PDC will constitute a waiver of such provision or breach on any other occasion.
Remedies. All remedies in these Terms and Conditions will be cumulative, and not alternative or exclusive, and will be in addition to rights and remedies provided by applicable law. The exercise or failure to exercise any remedy by PDC will not preclude the exercise of the same or other remedies under these Terms and Conditions.
Governing Law. These Terms and Conditions and the transactions contemplated hereby shall be governed by, construed, and interpreted in accordance with the substantive laws of the State of Wisconsin (excluding the Convention on Contracts for the International Sale of Goods) without regard to its conflict of laws rules. Purchaser hereby irrevocably submits and consents to the exclusive subject matter and personal jurisdiction of the federal and State courts situated in Milwaukee, Wisconsin for any legal action or proceeding related to these Terms and Conditions and hereby waives any and all objections to the venue and/or inconvenience.
Dispute Resolution. PDC and Purchaser will negotiate in good faith and use reasonable efforts to settle any dispute, controversy, or claim with respect to these Terms and Conditions and any transactions contemplated hereby. If PDC and Purchaser are unable to reach a satisfactory dispute resolution or settlement, any subsequent formal legal action must be commenced within one (1) year and one (1) day after the cause of action accrued. Purchaser expressly agrees that this limitations period shall apply in lieu of any longer period that might otherwise be provided by applicable law.
Force Majeure. PDC shall not be responsible for any failure to fulfill its obligations hereunder due to causes beyond its reasonable control, including without limitation: acts or omissions of government or military authority, terrorist actions, acts of God, pandemic, shortages of materials, transportation delays, fires, floods, labor disturbances, riots, and wars.
Severability. If any provision of these Terms and Conditions is held by a court of competent jurisdiction to be contrary to law, such provision shall be deemed modified to the extent necessary to be consistent with such law, and the remaining provisions of these Terms and Conditions shall remain in full force and effect.
Ethics and Privacy Policies
PDC is a Brady Worldwide, Inc. subsidiary of Brady Corporation. Brady Corporation has a global ethics policy ("Code of Ethics"), which governs the behavior and relationships of PDC and its employees, customers, contractors, suppliers, and distributors (collectively, "Stakeholders"). The Code of Ethics can be found at www.bradyethics.com under the Code of Ethics tab. (This webpage is hosted on NAVEX EthicsPoint® secure servers and is not part of the Brady Corporation website or intranet.) If Purchaser believes the conduct of PDC or any Stakeholder violates the terms of the Code of Ethics, Purchaser should report the violation using the confidential Report Online feature of the website or by using the contact numbers provided on page 3 of the Code of Ethics policy. Any personal information submitted by Purchaser using the website will be governed by the Privacy Policy found by clicking on the Privacy Statement link located in the footer of the website. In addition, Purchaser's submission of personal information during any sale transaction or through any PDC websites is also governed by the Brady Worldwide, Inc. Privacy Policy found at www.privacy.bradyid.com.
WEBSITE SPECIFIC TERMS
Websites provided by PDC and its affiliates ("Sites"), are intended as a service to customers. Use of the Sites indicates acceptance of the following website specific terms ("Site Terms"). If Purchaser does not agree to the Site Terms, Purchaser should not use the Sites.
Site Changes
Purchaser should review these Terms and Conditions of Sale, including the Site Terms, whenever Purchaser uses any of the Sites to facilitate purchases. PDC reserves the right to update and modify Site Terms in its sole discretion, at any time, and without prior notice, including the right to: (1) modify, suspend, or discontinue the Sites or any service, content, price, feature, or product offered through the Sites; (2) charge, modify, and waive fees in connection with use of the Sites; and (3) offer limited promotions or other opportunities to certain or all users of the Sites. PDC may deny access to the Sites if in PDC's sole judgment a user or Purchaser failed to comply with any Site Term or provisions of the Site. PDC shall not be liable to Purchaser, or to any third party, for any modification, suspension, or discontinuance of a Site, or any service, content, feature or product offered through the Sites.
Site Errors
Information on PDC's Sites may inadvertently contain typographical errors, inaccurate information, or omissions (collectively, "Errors") relating, but not limited, to product descriptions, pricing, promotions, offers, and availability. If any Sites contains Errors, without prior notice (including after Purchaser submitted an order), PDC reserves rights to: (1) correct Errors; (2) change or update applicable Site information; and (3) cancel orders made in reliance on Errors.
Right to Limit Orders
PDC reserves the right to limit or refuse any order. PDC may, in its sole discretion, limit or cancel quantities purchased per person, business, or order. These restrictions include orders placed by or under the same customer account, the same credit card, and orders that use the same billing or shipping address. In the event PDC makes a change to or cancels an order, PDC will attempt to notify Purchaser by contacting the email, billing address, or phone number provided at the time of order. PDC reserves the right to limit or prohibit orders that, in PDC's sole judgment, appear to be placed by unauthorized resellers or distributors.
Proprietary Site Contents
The Sites and their contents, including text, images, illustrations, designs, icons, photographs, video clips, and other materials (collectively, "Site Contents"), as well as the copyrights, trademarks, trade dress, and other intellectual property in Site Contents, are owned, controlled, or licensed by PDC and/or its affiliates. Purchaser may not reproduce, publish, transmit, distribute, display, modify, create derivative works from, sell, or exploit in any way, any of the Sites or the Site Contents. No right, title, or interest in any downloaded Site Content is transferred to Purchaser as a result of any downloading or copying. Rights not expressly granted are reserved to PDC and/or its affiliates.
Comments and Feedback
PDC welcomes comments from users and purchasers regarding their experience with PDC's Sites, products, and services. While Purchaser feedback is valued, users and Purchasers are requested to not send creative ideas, suggestions, proposals, plans, or other materials for PDC's business. PDC will not accept or consider such submissions (unless specifically requested by PDC), to avoid future misunderstandings in the event projects developed by PDC, its employees, or its agents, seem similar to creative works submitted by customers or users. If, at PDC's request, Purchaser sends certain specific submissions (for example contest entries), or without a request from PDC, Purchaser sends creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, "Comments"), Purchaser agrees PDC may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use, in any medium, the Comments Purchaser forwards to PDC. PDC shall be under no obligation to: (1) maintain any Comments in confidence; (2) pay compensation for any Comments; or (3) respond to any Comments. PDC has the right, but not the obligation, to monitor, edit, or remove any Comments. Purchaser is solely responsible for any Comments it makes to PDC and their accuracy. PDC takes no responsibility, and assumes no liability, for any Comments posted by Purchaser or any third party. Purchaser agrees its Comments: (1) will not violate any right of any third party, including copyright, trademark, privacy, or other personal or proprietary right; (2) will not contain libelous or otherwise unlawful, abusive, or obscene material, and (3) will not contain any computer virus or other malware that could in any way affect the operation of the Sites. Purchaser may not use a false e-mail address, represent itself to be someone other than itself, or otherwise mislead PDC or third parties as to the origin of any Comments.

Purchaser's submission of personal, private, and confidential information through the Sites is governed by the Brady Worldwide, Inc. Privacy Policy located at www.privacy.bradyid.com.
